- Vimseam is software for tax professionals. It is not a substitute for your professional judgment.
- Every number it produces is an estimate based on the inputs you provide. You are responsible for verifying it.
- Vimseam does not give tax, legal, or accounting advice — you do, to your clients.
- During early access the service is free and provided “as is,” without warranties.

1Acceptance of these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Vimseam (“Vimseam,” “we,” or “us”) governing your access to and use of the Vimseam website and applications (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a firm or other organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
2Definitions
“Service” means Vimseam’s software, including the sale analyzer and related features. “User Content” means the data you enter, upload, or generate, including client information, property figures, and tax rates. “Output” means the estimates, analyses, deadlines, and summaries the Service produces from your inputs.
3Who may use the Service
The Service is intended for tax, accounting, and financial professionals and their firms. You must be at least 18 years old and capable of forming a binding contract. You are responsible for ensuring your use complies with the professional and licensing rules that apply to you.
4Accounts and security
You must provide accurate account information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
5Early access and fees
The Service is currently offered during an early-access period at no charge. We may introduce fees for some or all features in the future; if we do, we will give notice and you may choose whether to continue with any paid plan. Free access may be changed, limited, or discontinued at any time.
6Not tax, legal, or accounting advice
Vimseam is a software tool, not an advisor. The Service does not provide tax, legal, accounting, investment, or other professional advice, and no professional-client relationship is created by your use of it.
All Output is an estimate generated from the inputs you supply — including tax rates, dates, amounts, and eligibility facts — and from assumptions and simplifications described in the Service and its documentation. Tax law is complex, varies by jurisdiction, and changes over time. You are the professional responsible for independently reviewing, verifying, and exercising judgment over every figure and recommendation before relying on it or sharing it with a client. You are solely responsible for the advice you give your clients.
7Your content and data
As between you and Vimseam, you own your User Content. You grant us a limited license to host, process, and display it solely to operate and improve the Service for you. You are responsible for having the rights and any client consents needed to enter the information you provide, and for the accuracy of that information.
8Acceptable use
You agree not to:
- use the Service in violation of any law or professional-conduct rule;
- reverse engineer, resell, or copy the Service except as permitted by law;
- upload malware, attempt to breach security, or disrupt the Service;
- use the Service to provide a competing product; or
- misrepresent Output as guaranteed, audited, or as Vimseam’s advice.
9Intellectual property
The Service, including its software, content, and trademarks, is owned by Vimseam and its licensors and is protected by law. We welcome feedback and may use it without obligation to you.
10Disclaimer of warranties
The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any Output will be accurate or complete.
11Limitation of liability
To the fullest extent permitted by law, Vimseam will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost tax benefits, penalties, or damages arising from reliance on the Output. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars ($100).
12Indemnification
You will indemnify and hold Vimseam harmless from claims arising out of your use of the Service, your User Content, the advice you provide to your clients, or your violation of these Terms.
13Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination (including sections 6, 10, 11, and 12) will survive.
14Changes to the Service or these Terms
We may modify the Service or these Terms. If we make material changes to these Terms, we will update the effective date and, where appropriate, provide notice. Your continued use after changes take effect constitutes acceptance.
15Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute not otherwise subject to an agreed alternative process.
